These Terms of Service ("Terms") form a binding legal agreement between you (or your organization, if you are signing up on its behalf) and TitleTracer Pro, Inc. ("TitleTracer Pro," "we," "us," or "our"), a Texas corporation, governing your access to and use of the TitleTracer Pro platform, website, and related services (collectively, the "Service").
By creating an account, clicking "Start free trial," or otherwise accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
If you do not agree to these Terms, do not use the Service.
TitleTracer Pro provides software tools for professional title research, including runsheet building, lien detection, O&G lease tracking, document management, and report generation. The Service is designed for use by professional title researchers, landmen, attorneys, and organizations in the real property industry.
The Service is a productivity and organization tool for title research professionals. Output from the Service — including runsheets, reports, lien alerts, and curative suggestions — does not constitute legal advice, a title opinion, or a legal guarantee of any kind. You are solely responsible for the professional accuracy and completeness of any title work you produce using the Service. Always apply your professional judgment and, where appropriate, consult a licensed attorney.
We may offer a free trial period with access to Professional plan features. At the end of the trial, you must subscribe to continue using the Service. We reserve the right to modify or terminate trial offerings at any time.
We continuously improve the Service. We may add, modify, or remove features at any time. We will provide reasonable notice of material changes that reduce existing functionality for paid subscribers.
Subscriptions are available on monthly or annual billing cycles, as selected at signup. Prices are listed on our Pricing page and may be changed with 30 days' notice to existing subscribers. Annual plans are billed upfront for the full year.
Subscriptions automatically renew at the end of each billing period unless cancelled. You authorize us (through our payment processor, Stripe) to charge your payment method on file at each renewal.
You may cancel at any time from your account settings or by contacting support@titletracerpro.com. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods, except where required by applicable law. If you cancel an annual plan within 14 days of the renewal date and have not used the Service in that period, contact us for a prorated refund at our discretion.
If payment fails, we will notify you and retry the charge. If payment is not received within 10 days, we may suspend access until payment is received. Accounts suspended for non-payment for more than 60 days may be terminated.
Prices exclude applicable taxes (including sales tax, VAT, or GST). You are responsible for all taxes applicable to your subscription in your jurisdiction. We will add applicable taxes to your invoice where required by law.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
We reserve the right to investigate potential violations and suspend or terminate accounts that violate this section without notice if the violation poses a risk to other users or the platform.
You retain all ownership of and intellectual property rights in the data you input into the Service ("Customer Data"), including runsheets, uploaded documents, notes, and reports. We claim no ownership over your Customer Data.
You grant TitleTracer Pro a limited, non-exclusive, worldwide license to host, store, process, copy, transmit, and display your Customer Data solely to the extent necessary to provide and improve the Service for you. We do not use your Customer Data for any other purpose, including training AI models or marketing.
You are solely responsible for the accuracy, completeness, and legality of your Customer Data. You represent that you have all rights necessary to provide the Customer Data to the Service and that doing so does not violate any third-party rights or applicable law.
The Service, including its software, design, features, trademarks, and content (excluding your Customer Data), is owned by TitleTracer Pro or its licensors and protected by U.S. and international intellectual property laws. Nothing in these Terms transfers ownership of the Service to you.
If you submit feedback, suggestions, or ideas about the Service, you grant us a royalty-free, perpetual, irrevocable license to use that feedback without restriction or obligation to you.
Each party agrees to keep the other's confidential information (including, in your case, your Customer Data; in our case, our proprietary software and business information) confidential and not to disclose it to third parties except as permitted by these Terms or required by law. This obligation survives termination of the agreement for five years.
We warrant that: (a) we have the authority to enter into these Terms; (b) we will provide the Service in a professional and workmanlike manner; and (c) the Service will perform materially as described in our documentation.
Except as expressly stated in these terms, the service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted or error-free operation. We do not warrant that the service will meet your specific requirements or that all defects will be corrected.
The service is a professional tool — not a substitute for professional legal judgment. TitleTracer Pro makes no warranty as to the accuracy, completeness, or legal sufficiency of any output generated by the service. You are solely responsible for verifying all research output before relying on it professionally.
To the maximum extent permitted by applicable law, in no event will TitleTracer Pro, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, loss of business, or professional liability claims — arising out of or related to your use of or inability to use the service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any and all claims arising out of or related to these terms or the service will not exceed the total amount you paid to us in the 12 months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. If those laws apply to you, some or all of the above limitations may not apply, and you may have additional rights.
You agree to indemnify, defend, and hold harmless TitleTracer Pro and its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Customer Data; (c) your violation of these Terms; or (d) your violation of any third-party right.
These Terms remain in effect for as long as you have an active account or subscription. Either party may terminate for convenience: you by cancelling your subscription; us by providing 30 days' written notice.
We may terminate your account immediately, without notice, if you materially breach these Terms, particularly the Acceptable Use provisions. Upon termination, your right to access the Service ceases. Data export and retention provisions in our Privacy Policy continue to apply.
Sections that by their nature should survive termination — including IP ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. Any dispute arising from or relating to these Terms or the Service shall be submitted to binding arbitration administered by JAMS under its Streamlined Arbitration Rules, with the arbitration conducted in Tarrant County, Texas. The parties waive the right to a jury trial and to participate in class action proceedings. Either party may seek emergency injunctive relief from a court of competent jurisdiction.
Notwithstanding the foregoing, nothing in these Terms prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm pending arbitration.
